Terms of service
These terms are an agreement between the business purchasing or using the services (“Client,” “you,” or “your”) and RobbSConsulting LLC, doing business as Get Paid Utah (“Get Paid Utah,” “we,” “us,” or “our”). By starting a trial, purchasing, activating, or using a service, you confirm that you are authorized to accept these terms for the Client.
Subscription terms at a glance
- Starter: $0 for 14 days with no payment card required. A $99 monthly subscription begins only if you explicitly choose to subscribe and complete paid checkout. The trial does not automatically convert to a paid subscription.
- Platform: $199 at checkout for onboarding, standard setup, opening import, training, and the first 30 days; then $149 per month beginning on day 31.
- Managed Receivables: Starting at $299 per month plus 7.5% of specifically enrolled overdue invoices actually recovered. Dashboard and standard setup are included. The agreed monthly base is due even if nothing is recovered. A free assessment and written service scope come first.
- Paid monthly subscriptions renew automatically until canceled. A free Starter trial does not authorize any charge.
- You may let the Starter trial end without subscribing and owe nothing. After a paid period begins, cancellation takes effect at the end of the current billing period.
- Subscription payments are non-refundable except for billing errors or when required by law. The Platform startup payment is non-refundable once onboarding begins.
1. Business service
Get Paid Utah provides an accounts receivable workflow, related onboarding and reporting, and, depending on the selected plan, operational accounts receivable support. The service is offered only for business use and business-to-business commercial receivables. It excludes obligations incurred primarily for personal, family, or household purposes and excludes medical, residential, and government debts. Get Paid Utah does not purchase debts, take ownership of receivables, provide legal, tax, or accounting advice, or independently begin litigation or formal collection proceedings. Any outside collection or legal escalation requires a separate, authorized handoff.
2. Plans and scope
Starter
Starter is a self-directed platform offer. It includes a 14-day trial with no card required. Your team sets up the workspace and handles customer follow-up. Continued paid access is $99 per month and begins only when you choose to subscribe and complete checkout. Starter may begin with self-guided setup/import; a live QuickBooks connection can be added after signup when needed. Available features and onboarding requirements are described on the pricing page and, for a paid subscription, at checkout.
Platform
Platform includes the working dashboard, standard setup, opening import, training, and normal product support described on the pricing page. Your team handles customer follow-up. At checkout, the Client is charged $199 for onboarding and the first 30 days of access. No additional monthly subscription fee is charged at checkout. Unless canceled, the $149 monthly subscription begins on day 31 and renews each month thereafter. The founding $149 monthly rate is protected for 12 months while the account remains active.
Managed Receivables
Managed Receivables combines the platform with hands-on accounts receivable service. Its advertised starting price is $299 per month plus 7.5% of specifically enrolled overdue invoices actually recovered. The dashboard and standard setup are included. The exact monthly base, invoice eligibility, and operating scope are agreed in writing after a free assessment and before work begins. The agreed monthly base is due even if no eligible invoice is recovered; there is no success fee without eligible recovery. Service is month-to-month. The agreed founding monthly base and success-fee rate are protected for 12 months for the same written scope while the account remains active; any scope change and resulting quote must be agreed before additional work begins. For enrolled business-to-business invoices, Get Paid Utah may make the calls and send the emails expressly authorized in a client-specific agreement. That agreement identifies the eligible receivables, recovery calculation, jurisdictions, communication identity and channels, operating scope, and decisions that remain with the Client. If it conflicts with these terms, the signed agreement controls for Managed Receivables services.
3. Trial, automatic renewal, and authorization to charge
The Starter trial begins when your trial access is activated after signup. No card or billing authorization is required. We will provide a reminder identifying the trial expiration date and the option to subscribe for $99 per month. If you do not choose a paid subscription, the trial expires without a charge and continued access to paid workspace features requires a subscription. For Platform, the $199 startup payment includes the first 30 days; we will provide a reminder before the first $149 monthly charge that identifies the charge date and how to cancel.
Once you choose and purchase a paid subscription, it automatically renews for successive one-month periods unless canceled. By completing paid checkout, you authorize Stripe, our payment processor, to charge the payment method on file for the amounts, timing, and recurring fees displayed at checkout and described here. We may change future pricing only after giving advance notice; a price change will not alter a charge already due.
4. Cancellation
The Starter trial expires without a charge if you do not subscribe; no billing cancellation is needed for the free trial. You may cancel Platform before day 31 to prevent the first $149 monthly charge. You may cancel a paid monthly subscription at any time; cancellation becomes effective at the end of the billing period already paid for, and access continues through that date unless the service is suspended under these terms. Cancel through the Stripe customer billing portal or contact robb@getpaidutah.com or 801‑921‑7879. We will honor the time your cancellation request is received.
5. Refunds and failed payments
Subscription fees are non-refundable after a paid billing period begins, except for a confirmed billing error or when a refund is required by law. The $199 Platform startup payment becomes non-refundable once onboarding work begins because it covers onboarding, setup, training, and the first 30 days of access. If payment fails, we or Stripe may retry the charge, notify you, request an updated payment method, or suspend access until the account is current. You remain responsible for charges properly incurred before cancellation or suspension.
6. Client responsibilities and authorization
You are responsible for providing accurate, current, and lawfully obtained information; maintaining accurate accounting records; identifying valid business-to-business invoices, payments, credits, disputes, and customer contacts; and ensuring that your instructions are lawful and authorized. You retain control of write-offs, credits, settlements, payment plans outside an agreed written policy, legal decisions, customer policies, and the accuracy of the underlying books.
A signed client-specific agreement must expressly authorize Get Paid Utah before it calls or emails your customers. Get Paid Utah will use only the approved identity, contact information, channels, business hours, account list, and escalation rules. You will promptly tell us about payments, disputes, communication limits, attorney involvement, bankruptcy notices, or other facts that should pause or change follow-up. Customer payments must use your approved payment channel; Get Paid Utah does not receive or hold those funds.
Text messaging program
When a business contact or customer voluntarily opts in, Get Paid Utah may send recurring informational or transactional text messages about business invoice follow-up, account status, requested documentation, payment commitments or arrangements, and related customer-service communications. Text messaging consent is optional and is not a condition of purchasing or using Get Paid Utah services. Message frequency varies based on account activity. Message and data rates may apply.
Reply STOP to any Get Paid Utah text to opt out. Reply HELP for help. For additional assistance, contact robb@getpaidutah.com or 801‑921‑7879. Wireless carriers are not responsible for delayed or undelivered messages. Participation in the text messaging program is subject to our Privacy Policy. Consent records are maintained for messaging compliance and are not transferable to another sender.
7. QuickBooks and business data
QuickBooks Online remains the accounting source of truth. If you approve a QuickBooks connection or provide an export, you authorize us and our service providers to access and process the information reasonably needed for the agreed accounts receivable workflow. You are responsible for your QuickBooks account, permissions, and data accuracy. Our handling approach is described in the Data Practices page, and public-site information is covered by the Privacy Policy.
8. Third-party services
The service may depend on third-party products such as Stripe, QuickBooks Online, hosting, email, and communications providers. Their availability, security, and terms are controlled by those providers. We are not responsible for an outage or change outside our reasonable control, but we will take reasonable steps to restore or adapt the affected workflow.
9. No guarantee of recovery or timing
We do not guarantee that any invoice will be paid, that a specific amount will be recovered, or that payment will occur by an expected date. Results depend on factors outside our control, including invoice validity, service evidence, disputes, customer ability and willingness to pay, your response time, and the accuracy of information provided. Forecasts, priorities, and next-action recommendations are operating tools, not promises of collection.
10. Acceptable use and suspension
You may not use the service to submit unlawful, misleading, fraudulent, abusive, or unauthorized claims; harass any person; violate communication restrictions; access data you do not have a right to use; interfere with the service; or attempt to obtain another client’s information. We may pause or terminate access when reasonably necessary to address nonpayment, security risk, unlawful or abusive use, material breach, or risk to a customer or third party. When practical, we will provide notice and an opportunity to cure.
11. Confidentiality and security
Each party will use reasonable care to protect the other party’s nonpublic business information and will use it only for the service, legal compliance, security, or enforcement of these terms. No internet or cloud service can be guaranteed completely secure. Do not send passwords, verification codes, bank credentials, full payment-card details, or Social Security numbers through routine email, text, or the public website form.
12. Service availability and changes
We may improve, update, or replace service features as the product develops. We will not intentionally remove the core paid service during a current billing period without a reasonable substitute or notice. Beta, preview, and sample-demo features may change and may not reflect every production capability.
13. Disclaimers and limitation of liability
To the extent permitted by law, the service is provided “as is” and “as available,” without warranties not expressly stated in these terms. Neither party will be liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, revenue, data, or business opportunity arising from the service.
To the extent permitted by law, Get Paid Utah’s total liability arising from the service will not exceed the subscription and setup fees the Client paid to Get Paid Utah during the three months before the event giving rise to the claim. These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
14. Ending the agreement
Either party may end the service as described in the cancellation and suspension sections. Provisions that by their nature should continue—such as payment obligations already incurred, confidentiality, disclaimers, liability limits, and governing law—survive termination.
15. Governing law
Utah law governs these terms, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought in a state or federal court with jurisdiction in Utah County, Utah, and each party consents to that venue.
16. Changes to these terms
We may update these terms to reflect service, legal, or operational changes. Material changes will apply prospectively after reasonable notice. Continued use after the effective date of updated terms constitutes acceptance, but a change will not retroactively increase a fee already due or reduce a right already accrued.
